M & M Microscopes, LLC’s Terms and Conditions for M & M Microscopes, LLC
These Terms and Conditions ("Terms") govern the sale of products and services by M & M Microscopes, LLC ("Seller") to the customer identified in the Quote or Purchase Order. "Product" refers to any new or used microscope, equipment, accessories, or related hardware sold under these Terms. "Services" refer to any additional offerings provided in conjunction with the products. By placing an order, the customer ("Customer") agrees to be bound by these Terms.
1. General Terms
1.1. M & M Microscopes, LLC reserves the right to modify these Terms at any time. Continued use of the website or purchase of products constitutes acceptance of the modified Terms.
1.2. All sales of both new and used products are subject to availability and sold on a first-come, first-served basis.
1.3. Any quotes provided will be valid for 30 days, unless otherwise specified.
1.4. Orders must be placed through written or electronic purchase orders, or via the website. M & M Microscopes, LLC may, at its discretion, refuse any order for reasons including but not limited to creditworthiness, product availability, or discrepancies in product specifications.
2. Prices, Orders, and Payments
2.1. Prices listed are in U.S. dollars, exclusive of taxes, shipping, handling, and insurance unless otherwise noted.
2.2. Payments must be made in full prior to shipment unless otherwise agreed upon in writing. Accepted payment methods include credit cards, wire transfers, and company check.
2.3. A 3.5% fee will apply for credit card payments. Failure to make timely payments may result in interest charges of up to 3% per month.
2.4. All sales are final. No cancellations or changes can be made after an order is confirmed unless approved by M & M Microscopes, LLC. Cancellations requested before shipment may be subject to a cancellation fee.
2.5 Tariff Adjustment: All prices quoted for new products are exclusive of any applicable tariffs, duties, import fees, or related government charges. M & M Microscopes, LLC reserves the right to adjust the final sales price to reflect any increase in tariff rates, duties, or related government-imposed charges incurred between the date of quotation and the date of shipment. Customer agrees to pay such additional amounts promptly upon notification from M & M Microscopes, LLC.
3. Shipping and Delivery
3.1. M & M Microscopes, LLC will make every effort to ship products according to the estimated delivery dates. However, delivery times are estimates and may vary due to factors beyond M & M Microscopes, LLC’s control.
3.2. All risk of loss passes to the Customer upon shipment. Any damage incurred during shipping must be reported immediately. M & M Microscopes, LLC will not be liable for delays or damages caused by the shipping carrier. We ship FOB Origin.
3.3. For used products, refurbishment timelines may affect delivery estimates. M & M Microscopes, LLC will notify the Customer of any significant delays.
4. Condition of Used Equipment
4.1. Used products are sold as-is or refurbished, as indicated in the product description. Refurbished items will have undergone testing to meet functional standards, though cosmetic imperfections may remain.
4.2. M & M Microscopes, LLC can provide additional detailed descriptions and images for all used products upon request. By purchasing a used product, the Customer acknowledges that the item may have signs of prior use.
5. Returns and Warranty
5.1. New products are covered by the manufacturer’s warranty. The terms of the warranty vary by manufacturer, and it is the Customer's responsibility to review these terms.
5.2. Refurbished products may include a limited warranty covering parts and labor for defects in the product. This warranty is non-transferable and does not cover cosmetic issues, consumables, or damage caused by misuse. The length of the warranty will be stated on the quotation and invoice.
5.3. Used products sold as-is do not come with any warranty and are non-returnable unless the product is non-operational upon delivery.
5.4. Any returns for new equipment must be authorized in advance and must meet all return criteria, including being in unused condition and in the original packaging. Return shipping costs are the responsibility of the Customer.
6. Limitation of Liability
6.1. M & M Microscopes, LLC will not be liable for any indirect, special, consequential, or incidental damages arising out of the use of, or inability to use, the products.
6.2. The total liability of M & M Microscopes, LLC will not exceed the amount paid for the product. M & M Microscopes, LLC disclaims all warranties other than those provided explicitly within these Terms.
7. Title and Risk of Loss
7.1. Title to the products will transfer to the Customer once the product leaves M & M Microscopes, LLC’s shipping point.
7.2. The Customer assumes all responsibility for damage or loss during shipping, regardless of shipping arrangements.
8. Intellectual Property
8.1. All content and intellectual property, including but not limited to patents, trademarks, and copyrights associated with the products, remain the property of M & M Microscopes, LLC or its licensors.
8.2. The purchase of products does not grant the Customer any rights to use or reproduce any intellectual property associated with the products.
9. Indemnification
9.1. The Customer agrees to indemnify M & M Microscopes, LLC against any claims, damages, or liabilities arising from the use of the products, including third-party intellectual property infringement.
10. Governing Law and Dispute Resolution
10.1. These Terms are governed by and construed under the laws of the state in which M & M Microscopes, LLC operates, without regard to conflicts of law principles.
10.2. Any disputes arising out of or related to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
11. Privacy Policy
11.1. M & M Microscopes, LLC is committed to protecting your privacy. Personal information collected will be handled in accordance with our privacy policy, which can be reviewed on our website.
12. Miscellaneous
12.1. These Terms constitute the complete agreement between M & M Microscopes, LLC and the Customer, superseding any prior communications, understandings, or
agreements. Any modifications must be made in writing and agreed upon by both parties.
12.2. Should any provision of these Terms be deemed illegal or unenforceable, the remaining provisions will continue in full force and effect.
